By creating an account, connecting financial accounts, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
1. Eligibility
The Services are intended for businesses and business owners who are at least 18 years old. By using the Services, you represent that you meet these requirements and that all registration information you provide is accurate and current.
2. Description of Services
Alic provides software tools to help businesses understand and manage cash flow, forecast balances, track customer payments, connect financial accounts and payment processors, and — where applicable — audit merchant cash advance debits against contract terms to identify potential overcharges.
Alic is a technology platform. We are not a bank, lender, broker-dealer, investment adviser, or law firm. The Services do not constitute financial, legal, tax, or accounting advice. You should consult qualified professionals before making financial decisions.
3. Account Registration and Security
To access certain features, you must create an account. You agree to:
- Provide accurate, complete, and up-to-date information.
- Maintain the confidentiality of your login credentials.
- Notify us promptly of any unauthorized access to your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
4. Connected Accounts and Authorizations
Many features require you to connect bank accounts, payment processors, or upload financial documents. By doing so, you authorize Alic and our service providers to access, retrieve, store, and process the data necessary to provide the Services — including transaction history, balances, contract terms, and payment records.
You represent that you have the right to provide this access and that the information you submit is accurate. You may disconnect linked accounts at any time through your account settings, though some features may no longer function.
5. Your Data and Privacy
You retain ownership of the business and financial data you provide. You grant Alic a limited license to use that data solely to operate, maintain, and improve the Services as described in our Privacy Policy.
6. Fees and Payment
Certain features of the Services may require payment of subscription fees or other charges, which will be disclosed to you before you incur them. Unless otherwise stated, fees are billed in advance, are non-refundable except where required by law, and may change with reasonable notice.
You authorize us and our payment processors to charge your designated payment method for applicable fees. Failure to pay may result in suspension or termination of your access.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable regulation.
- Submit false, misleading, or fraudulent information or documents.
- Attempt to gain unauthorized access to the Services, other accounts, or our systems.

8. Reconciliation Services
If you use Alic's MCA reconciliation features, you understand that:
- Results are based on the documents and data you provide and automated analysis of debits against contract terms.
- We do not guarantee recovery of any specific amount or outcome with funders, lenders, or courts.
- Any dispute or recovery action involving third parties is between you and those parties unless we expressly agree otherwise in writing.
- You are responsible for reviewing findings and deciding whether to pursue recovery.
9. Intellectual Property
The Services, including all software, design, text, graphics, logos, and trademarks, are owned by Alic or our licensors and are protected by intellectual property laws. Except for the limited right to use the Services as permitted by these Terms, no license or rights are granted to you.
Feedback you provide may be used by Alic without restriction or compensation to improve the Services.
10. Third-Party Services
The Services may integrate with or link to third-party products and services (such as banks, payment processors, and analytics providers). We are not responsible for third-party services, and your use of them is subject to their own terms and privacy policies.
11. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that forecasts, analyses, or reconciliation results will be accurate or complete. Financial data from third-party sources may be delayed or contain errors outside our control.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALIC IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify and hold harmless Alic and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
14. Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services with reasonable notice where practicable.
Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination — including payment obligations, disclaimers, limitation of liability, and indemnification — will survive.
15. Dispute Resolution
Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
Any dispute not resolved informally will be resolved by binding arbitration on an individual basis, except that either party may seek injunctive relief in court for intellectual property or unauthorized access. You waive any right to participate in a class action or class-wide arbitration.
16. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.
17. Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
18. General
- Entire agreement — these Terms and the Privacy Policy constitute the entire agreement between you and Alic regarding the Services.
- Severability — if any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver — failure to enforce any provision is not a waiver of that provision.
- Assignment — you may not assign these Terms without our consent. We may assign our rights and obligations in connection with a merger or sale of assets.
